Terms of Service
Effective date: 11 July 2026
1. Agreement
These terms are a contract between you and ArQ Criterion Limited (New Zealand) ("VRSO", "we", "us") governing your use of the VRSO service — the vrso.io website, application, and embeddable chat widget. By creating an account or using the service you agree to these terms and to our Privacy Policy.
2. The service
VRSO provides an AI sales agent: it builds a knowledge base from your website and documents, chats with your website visitors, answers from your business information, captures and scores leads, and sends notifications. You embed it on your site with a code snippet from your dashboard.
3. Your account
You must provide accurate information and keep your credentials secure. You are responsible for activity under your account. One subscription covers one business/website deployment as presented at signup.
4. Trial, fees and billing
New accounts start with a 7-day free trial; a valid payment card is required to start the trial and your subscription begins automatically when the trial ends unless you cancel first. The price is NZ$49 per month, or the equivalent local price shown at checkout in your selected currency; prices may be presented and charged in your local currency, and amounts converted by your card issuer or payment provider may vary. Subscriptions renew monthly until cancelled. You can cancel any time from your dashboard; cancellation takes effect at the end of the current billing period and we do not refund partial months. We may change pricing with at least 30 days' notice; changes apply from your next billing cycle. Payments are processed by Stripe.
5. Your content and responsibilities
You retain ownership of your website content, documents, branding, and lead data. You grant us a licence to store and process that content solely to provide the service — including crawling your site, generating embeddings and AI responses, and sending notifications. You confirm you have the right to the content you connect. You are responsible for: complying with laws that apply to your use of visitor data (including privacy and marketing laws), telling your website visitors that they are interacting with an AI assistant where required, the accuracy of the business information your agent is trained on, and your use of captured leads.
6. AI output
Responses are generated automatically by AI from your knowledge base. While the system is designed to answer only from your business information, AI output can be incomplete or inaccurate, and is provided "as is". It is not professional advice. You are responsible for reviewing how your agent represents your business, and for any commitments made to your customers.
7. Acceptable use
You may not use the service to: break the law; send spam or deceptive messages; deploy the widget on sites containing unlawful, infringing, or harmful content; probe, disrupt, or overload the service; misrepresent the AI as a human where disclosure is legally required; or attempt to extract other customers' data. We may suspend or terminate accounts for breach.
8. Intellectual property
The VRSO software, design, and branding belong to ArQ Criterion Limited. These terms grant you a limited, non-exclusive, non-transferable right to use the service while subscribed. Feedback you send us may be used to improve the product without obligation.
9. Data
Our handling of personal information is described in the Privacy Policy. For personal information your visitors share through your widget, you are the controller and we process it on your behalf to provide the service.
10. Availability
We aim for reliable service but do not guarantee uninterrupted availability, and we may modify features as the product evolves. We will not materially reduce the core service you pay for during a billing period.
11. Termination
You may close your account at any time. We may suspend or terminate for breach of these terms, non-payment, or where required by law. On closure, your data is handled as described in the Privacy Policy (deleted within 30 days, except where retention is legally required).
12. Liability
To the maximum extent permitted by law: the service is provided "as is"; we are not liable for indirect or consequential loss, lost profits, or lost data; and our total liability for all claims in any 12-month period is limited to the amounts you paid us in that period. Nothing in these terms limits rights that cannot be excluded under New Zealand law, including, where applicable, the Consumer Guarantees Act — though if you use the service for business purposes, you agree the CGA does not apply.
13. Governing law
These terms are governed by New Zealand law, and the New Zealand courts have exclusive jurisdiction.
14. Changes
We may update these terms; material changes will be notified by email or in-app notice at least 14 days before they take effect. Continued use after that date is acceptance.
